Terms and Conditions

Effective Date: 22 April 2026

Please read these Terms and Conditions ("Terms") carefully before using the eSalahKaar mobile application ("App") operated by Bindal mega projects Private Limited ("Company", "we", "us", "our"), a company incorporated under the Companies Act, 2013 (CIN: U45400UR2020PTC010635), having its registered office at SVILLAGE AURANGABAD, ROORKEE, Haridwar, Uttarakhand, India, 249402.

By downloading, installing, or using the App, you ("User", "you", "your") agree to be bound by these Terms. If you do not agree, do not use the App.

1. Definitions

1.1 "App" means the eSalahKaar mobile application available on Google Play Store and Apple App Store, including all updates and modifications.
1.2 "User" or "Aspirant" means any individual who creates an account on the App to seek MBA guidance and consultation services.
1.3 "Consultant" means a verified current student or recent graduate of a recognised Indian B-school who provides guidance services through the App.
1.4 "Session" means a paid 1:1 consultation between a User and a Consultant, conducted via voice call or text chat through the App.
1.5 "Wallet" means the in-app digital wallet maintained by the Company for each User, used exclusively to pay for Sessions and receive refunds.
1.6 "Platform Service Fee" means the fee charged by the Company on each Session for facilitating the connection between the User and the Consultant.
1.7 "Scheduled Session" means a pre-booked 15-minute fixed-duration Session (voice call or chat) at a selected future time slot.
1.8 "Instant Session" means an on-demand Session (voice call or chat) with an online Consultant, billed per minute in real-time from the User's Wallet.

2. Eligibility

2.1 You must be at least 18 years of age to use the App. By creating an account, you represent and warrant that you are at least 18 years of age.
2.2 The App includes age verification during the account creation process. If your date of birth indicates that you are below 18 years of age, your registration will be blocked.
2.3 If you provide false or misleading information about your age, you are solely responsible for any consequences arising from such misrepresentation. The Company shall not be liable for any claims arising from inaccurate age information provided by Users.
2.4 You must provide a valid Indian mobile phone number for account creation and verification via One-Time Password (OTP).
2.5 By creating an account, you represent that all information provided is accurate, current, and complete.
2.6 The Company reserves the right to refuse service, terminate accounts, or cancel Sessions at its sole discretion.

3. Account Registration

3.1 Accounts are created using phone number verification via OTP. By completing the OTP verification and proceeding with account creation, you agree to these Terms, our Privacy Policy, and our Refund Policy.
3.2 You are responsible for maintaining the confidentiality of your account and for all activities that occur under your account.
3.3 You must notify us immediately of any unauthorised use of your account.
3.4 One account per phone number. Multiple accounts are not permitted.
3.5 Account deletion requests can be submitted through the App's Settings. All deletion requests are reviewed by the Company before approval. If your Wallet has a balance of ₹100 or more, our support team will contact you to facilitate the refund process before your account is deleted. Wallet balances below ₹100 may be forfeited upon account deletion at the Company's discretion.

4. Nature of Services

4.1 eSalahKaar is a technology-enabled marketplace platform that facilitates connections between MBA aspirants and verified B-school student Consultants. The Company is solely an intermediary and does not provide consulting, coaching, tutoring, or educational services directly.
4.2 Consultants listed on the App are independent service providers and are not employees, agents, representatives, or partners of the Company.
4.3 Sessions are intended for informal peer-to-peer guidance based on the Consultant's personal experience. They do not constitute professional counselling, academic coaching, career advice, or any form of certified educational instruction.
4.4 The Company makes no representations, warranties, or guarantees regarding:
(a) The accuracy, reliability, or completeness of any guidance provided by Consultants.
(b) Any specific outcome, including MBA admission, examination scores, interview performance, college selection, or career advancement.
(c) The suitability of any Consultant for a particular User's needs.
4.5 All decisions made based on guidance received during Sessions are made at your own risk and discretion.
4.6 Sessions are available in two formats:
(a) Scheduled Sessions: 15-minute fixed duration, pre-booked, available as voice call or text chat.
(b) Instant Sessions: On-demand voice calls or text chats with online Consultants, billed per minute from Wallet.
4.7 All Session times are displayed in Indian Standard Time (IST).

5. Payments and Pricing

5.1 Users pay for Sessions through the in-app Wallet. The Wallet can be topped up using UPI, debit cards, credit cards, or netbanking via our third-party payment gateway.
5.2 Minimum Wallet top-up amount is ₹50.
5.3 Each Consultant sets their own per-minute rate independently.
5.4 The total amount charged includes the Consultant's per-minute rate, a platform service fee, and applicable GST. A complete itemised breakdown is displayed before confirming any booking.
5.5 For Scheduled Sessions, the full amount is pre-paid from the Wallet at booking.
5.6 For Instant Sessions, a minimum Wallet balance equivalent to 5 minutes of Session cost is required. Billing begins only when the Consultant accepts. Partial minutes are rounded up.
5.7 Unused Wallet balance does not expire.
5.8 Wallet balance is for use within the App only. Users cannot transfer Wallet balance to a bank account, UPI, or any external payment method.
5.9 All payments are processed in Indian Rupees (₹).
5.10 The Company may offer promotional rewards such as cashback, bonus credits, referral rewards, or discounts. Such offers are subject to change or discontinuation at any time without prior notice.

6. Refund and Cancellation

6.1 Full details are available at the Refund Policy page within the App.
6.2 Summary of key refund rules:
(a) User cancels before deadline (2 hours before Session): 100% refund to Wallet.
(b) Consultant cancels: 100% refund to Wallet.
(c) Consultant rejects booking: 100% refund to Wallet.
(d) Consultant no-show (5 min grace): 100% refund to Wallet.
(e) System auto-cancellation: 100% refund to Wallet.
(f) User no-show: No refund. Consultant is paid.
6.3 All refunds are credited to the in-app Wallet instantly.
6.4 Refunds are not available as bank transfers or to any external payment method.

7. Consultant Verification

7.1 All Consultants undergo verification before being listed, including enrolment/graduation confirmation, identity verification, and academic credential review.
7.2 The Company makes reasonable efforts but does not guarantee absolute accuracy of verification.
7.3 Consultants are independent individuals. The Company is not responsible for their advice, opinions, or conduct.

8. User Conduct

8.1 You agree not to:
(a) Use the App for any unlawful or fraudulent purpose.
(b) Harass, abuse, or threaten any Consultant or User.
(c) Share personal contact information to bypass the platform.
(d) Record or screenshot Session content without consent of both parties.
(e) Misrepresent your identity, age, or qualifications.
(f) Manipulate ratings, reviews, or feedback mechanisms.
(g) Use automated tools, bots, or scripts to access the App.
(h) Reverse engineer or decompile any part of the App.
(i) Interfere with the App's integrity or performance.
(j) Promote third-party products or services through the App.
8.2 Violations may result in immediate account suspension or termination without refund.

9. Session Recordings and Communication Data

9.1 Voice call Sessions may be recorded for quality assurance, dispute resolution, and platform integrity. By using the App, you consent to such recording.
9.2 Chat messages are stored in encrypted form.
9.3 All Session data is owned by the Company and may be used for dispute resolution, quality improvement, training, and analytics.
9.4 Anonymised or aggregated Session data may be used for product improvement, marketing, and research, without identifying any individual.
9.5 Recordings are retained for 90 days. Chat transcripts for 1 year.

10. Referral Program

10.1 The Company may offer a referral program. Terms and reward amounts are at the Company's sole discretion.
10.2 Rewards are credited after the referred user completes their first paid Session.
10.3 The program may be modified or discontinued at any time.
10.4 Abuse (including fake accounts) will result in forfeiture of rewards and possible account termination.

11. Intellectual Property

11.1 The App's name, logo, design, content, features, and trademarks are the exclusive property of the Company.
11.2 You may not copy, modify, distribute, or create derivative works of any part of the App.
11.3 Session guidance is for personal, non-commercial use only.

12. Limitation of Liability

12.1 The App is provided "as is" and "as available" without warranties of any kind.
12.2 The Company is not liable for:
(a) Any advice or guidance provided by Consultants.
(b) Admission outcomes, exam results, or career decisions resulting from Sessions.
(c) Technical issues, call drops, or connectivity problems.
(d) Loss of data or unauthorised access beyond the Company's control.
(e) Any indirect, incidental, or consequential damages.
12.3 Once a Consultant has joined and commenced a Session, the Company's role as an intermediary is fulfilled. The Company bears no responsibility for the Session thereafter.
12.4 Total liability shall not exceed the amount paid for the specific Session giving rise to the claim.

13. Indemnification

13.1 You agree to indemnify and hold harmless the Company from any claims arising from:
(a) Your use of or conduct on the App.
(b) Your violation of these Terms or any law.
(c) Your violation of any third-party rights.
(d) Any misrepresentation, including of your age or identity.

14. Dispute Resolution

14.1 Raise a support ticket within 24 hours via Profile → Support → Raise a Ticket.
14.2 Tickets are resolved within 24 to 48 hours.
14.3 For call drop disputes, both parties confirm Session status. Disagreements are escalated.
14.4 After 24 hours, issues can only be raised through the App's support system.
14.5 Legal disputes are governed by the laws of India and subject to the exclusive jurisdiction of the courts in Haridwar, Uttarakhand.

15. Electronic Communications

15.1 By registering, you consent to communications via push notifications, SMS, WhatsApp, email, and in-app messages.
15.2 These include transactional notifications (booking, reminders, refunds, OTPs) and promotional communications (offers, features, updates).
15.3 Transactional notifications cannot be disabled. Promotional SMS comply with TRAI regulations.
15.4 Electronic communications satisfy legal requirements for written communication.
15.5 Manage push notification preferences through your device settings.

16. Force Majeure

16.1 The Company is not liable for failures caused by events beyond its control, including natural disasters, pandemics, war, government orders, power failures, internet outages, or cyber attacks.

17. Privacy

17.1 Your use of the App is governed by our Privacy Policy, available under the About section.

18. Modifications

18.1 The Company may modify these Terms at any time. Updated Terms will be posted within the App and on esalahkaar.com.
18.2 Continued use after modification constitutes acceptance.
18.3 Material changes will be notified via push notification.

19. Termination

19.1 The Company may suspend or terminate your account for Terms violations.
19.2 You may request account deletion through Settings (see Section 3.5).
19.3 Upon termination, your right to use the App ceases. Wallet balance may be forfeited for violations.

20. Severability

20.1 If any provision is found invalid, the remaining provisions continue in full force.

21. Entire Agreement

21.1 These Terms, the Privacy Policy, and the Refund Policy constitute the entire agreement between you and the Company.

23. User Conduct and Content Policy

eSalahKaar maintains a strict zero-tolerance policy towards objectionable content and abusive behaviour. By using this platform, you agree to the following terms:

1. Prohibited Content: You will not post, send, transmit, or share any content that is abusive, harassing, threatening, obscene, defamatory, hateful, or otherwise objectionable.

2. Prohibited Behaviour: You will not harass, threaten, abuse, impersonate, or harm other users or consultants in any manner.

3. Reporting: If you encounter objectionable content or abusive behaviour, you can report it through Support > Report / Block. All reports are reviewed by our team, and appropriate action is taken within 24 hours.

4. Blocking: You may block any user or consultant at any time through Support > Report / Block.

5. Enforcement: We reserve the right to remove objectionable content and to suspend or permanently terminate the accounts of users who violate this policy, typically within 24 hours of a confirmed report.

6. Acknowledgement: By continuing to use this platform, you acknowledge and agree that there is zero tolerance for objectionable content or abusive users on eSalahKaar.
