Consultant Terms of Service

Terms and Conditions

Effective Date: 22 April 2026

Please read these Terms and Conditions ("Terms") carefully before using the eSalahKaar Consultant mobile application ("App") operated by Bindal mega projects Private Limited ("Company", "we", "us", "our"), a company incorporated under the Companies Act, 2013 (CIN: U45400UR2020PTC010635), having its registered office at VILLAGE AURANGABAD, ROORKEE, Haridwar, Uttarakhand, India, 249402.

By downloading, installing, or using the App, you ("Consultant", "you", "your") agree to be bound by these Terms. If you do not agree, do not use the App.

1. Definitions

1.1 "App" means the eSalahKaar Consultant mobile application available on Google Play Store and Apple App Store.
1.2 "Consultant" means a verified current student or recent graduate of a recognised Indian B-school who provides guidance services to Users through the App.
1.3 "User" or "Aspirant" means any individual who creates an account on the eSalahKaar User App to seek MBA guidance.
1.4 "Session" means a paid 1:1 consultation between a User and a Consultant, conducted via voice call or text chat through the App.
1.5 "Wallet" means the in-app digital wallet maintained by the Company for each Consultant, used to receive earnings and request withdrawals.
1.6 "Platform Service Fee" means the fee retained by the Company from each Session for facilitating the connection between the User and the Consultant.
1.7 "Scheduled Session" means a pre-booked 15-minute fixed-duration Session (voice call or chat) at a selected future time slot.
1.8 "Instant Session" means an on-demand Session (voice call or chat) initiated by a User with an online Consultant, billed per minute.
1.9 "Payout" means the transfer of Wallet earnings to the Consultant's registered bank account upon an approved withdrawal request.

2. Eligibility and Verification

2.1 You must be at least 18 years of age to register as a Consultant.
2.2 You must be a current student or recent graduate of a recognised Indian B-school (such as IIMs, XLRI, ISB, FMS, MDI, SPJIMR, IIFT, or equivalent institutions).
2.3 You must complete the verification process (KYC) before your profile is listed on the platform. This includes submitting identity proof, college enrolment or graduation proof, and academic credentials.
2.4 Verification is reviewed manually by the Company. The Company reserves the right to approve, reject, or request additional documentation at its sole discretion.
2.5 Your account will progress through the following statuses: Pending KYC → Under Review → Approved (Live) / Rejected / Suspended. Only Approved Consultants can receive bookings and earn from Sessions.
2.6 You must provide accurate, complete, and truthful information during registration and verification. Any misrepresentation of credentials, academic background, or identity may result in immediate account rejection or termination.

3. Independent Contractor Relationship

3.1 You are an independent service provider and not an employee, agent, partner, or representative of the Company. Nothing in these Terms creates an employment, agency, joint venture, or partnership relationship between you and the Company.
3.2 You are solely responsible for any tax obligations arising from your earnings on the platform, including income tax filings.
3.3 The Company does not provide you with any employment benefits, including but not limited to insurance, provident fund, gratuity, leave entitlements, or any other benefits.
3.4 You are free to set your own per-minute rate, manage your own availability, and accept or decline booking requests at your discretion.
3.5 The Company does not control the content, methodology, or quality of the guidance you provide during Sessions. You are solely responsible for your advice, opinions, and conduct.

4. Nature of Services

4.1 eSalahKaar is a technology-enabled marketplace platform that facilitates connections between MBA aspirants and Consultants. The Company is solely an intermediary.
4.2 You provide informal peer-to-peer guidance based on your personal experience. Sessions do not constitute professional counselling, academic coaching, or certified educational instruction.
4.3 You must not make any guarantees or promises to Users regarding MBA admission, examination scores, interview outcomes, or career advancement.
4.4 Sessions are available in two formats:
(a) Scheduled Sessions: 15-minute fixed duration, pre-booked by User.
(b) Instant Sessions: On-demand voice calls or text chats, billed per minute.
4.5 All Session times are displayed in Indian Standard Time (IST).

5. Pricing and Earnings

5.1 You set your own per-minute rate on your profile. You may update your rate at any time; changes apply to new bookings only.
5.2 For each completed Session, you receive 100% of your base rate (per-minute rate × session duration in minutes). The platform service fee is charged separately to the User and is not deducted from your earnings.
5.3 Earnings are credited to your in-app Wallet instantly upon Session completion.
5.4 For Scheduled Sessions, you are paid only if the Session is completed or the User is marked as a no-show. You are not paid for Sessions you cancel, reject, miss, or fail to join.
5.5 For Instant Sessions, you are paid for the actual duration of the Session (rounded up to the nearest full minute).
5.6 All earnings are displayed in Indian Rupees (₹).

6. Withdrawals and Payouts

6.1 Full details of the withdrawal process, timelines, TDS deductions, and bank account requirements are available in the Payout Policy within the App.
6.2 Minimum withdrawal amount is ₹100.
6.3 Withdrawals are processed manually by the Company after review. Funds are typically credited to your registered bank account within 2–3 business days of approval.
6.4 Tax Deducted at Source (TDS) may be applicable on withdrawals as per applicable Indian tax laws (see Payout Policy for details).

7. Booking Management

7.1 Accepting Bookings: When a User books a Scheduled Session with you, you must accept or reject the booking before the response deadline (30 minutes before the Session start time). If you do not respond, the system will automatically cancel the booking.
7.2 Cancelling Bookings: You may cancel a confirmed booking up to 30 minutes before the Session start time. Repeated cancellations are flagged for admin review.
7.3 Rescheduling: You may propose to reschedule a booking once. The User can accept or reject the proposed new time. If rejected, the original time is maintained.
7.4 Instant Sessions: When a User initiates an Instant Session with you, you must accept within 30 seconds. If you do not accept or decline, the request is automatically cancelled.
7.5 No-Show: If you do not join a confirmed Scheduled Session within 5 minutes of the start time, it is marked as Consultant No-Show. You will not be paid, and the User receives a full refund. Repeated no-shows are flagged and may result in account suspension or termination.

8. Availability and Profile

8.1 You are responsible for keeping your availability slots accurate and up to date. Do not create slots you cannot honour.
8.2 You are responsible for maintaining an accurate, honest, and professional profile, including your college, programme, exam scores, and profile photo.
8.3 You may toggle your Instant Connect availability (voice call and/or chat) on or off at any time. The system will automatically set your availability to off when you are in an active Session.

9. Consultant Conduct

9.1 Your conduct on the platform is governed by the Code of Conduct available within the App. You must read and comply with it at all times.
9.2 Summary of key conduct rules:
(a) Be professional, respectful, and honest in all Sessions.
(b) Do not share personal contact details (phone, email, WhatsApp, Instagram, or any social media) with Users.
(c) Do not make guarantees about admission, exam scores, or outcomes.
(d) Do not engage in harassment, abuse, or discriminatory behaviour.
(e) Do not record Sessions without the consent of both parties.
9.3 Violations may result in warnings, suspension, or permanent account termination at the Company's discretion.

10. Session Recordings and Data

10.1 Voice call Sessions may be recorded by the Company for quality assurance and dispute resolution. By using the App, you consent to such recording.
10.2 Chat messages are stored in encrypted form on the Company's servers.
10.3 All Session data is owned by the Company and may be used for dispute resolution, quality improvement, training, analytics, and other purposes as described in our Privacy Policy.
10.4 Anonymised or aggregated data may be used for product improvement and marketing without identifying any individual.
10.5 Recordings are retained for 90 days. Chat transcripts for 1 year.

11. Account Suspension and Termination

11.1 The Company may suspend or permanently terminate your account for:
(a) Violation of these Terms or the Code of Conduct.
(b) Sharing personal contact details with Users to bypass the platform.
(c) Repeated no-shows or cancellations.
(d) Fraudulent or misleading profile information.
(e) Harassment, abuse, or inappropriate behaviour towards Users.
(f) Any other reason at the Company's sole discretion.
11.2 Upon suspension, all active bookings are automatically cancelled and Users receive full refunds.
11.3 Upon permanent termination, the Company reserves the right to forfeit any remaining Wallet balance at its discretion, depending on the nature and severity of the violation.
11.4 You may request account deletion through the App's Settings. Withdrawal of any remaining balance must be completed before deletion is processed.

12. Intellectual Property

12.1 The App's name, logo, design, and content are the exclusive property of the Company.
12.2 You may not use the eSalahKaar brand, logo, or name for any purpose outside the platform without written consent.

13. Limitation of Liability

13.1 The App is provided "as is" and "as available" without warranties of any kind.
13.2 The Company is not liable for:
(a) User behaviour, complaints, or disputes arising from Session content.
(b) Technical issues, call drops, or connectivity problems.
(c) Loss of earnings due to cancellations, no-shows, or account actions.
(d) Any indirect, incidental, or consequential damages.
13.3 The Company's total liability shall not exceed the earnings actually paid to you for the Session giving rise to the claim.

14. Indemnification

14.1 You agree to indemnify and hold harmless the Company from any claims arising from:
(a) Your conduct during or after Sessions.
(b) The guidance, advice, or opinions you provide to Users.
(c) Your violation of these Terms, the Code of Conduct, or any law.
(d) Any misrepresentation of your credentials, identity, or profile information.

15. Dispute Resolution

15.1 Raise a support ticket via Profile → Support → Raise a Ticket.
15.2 Tickets are resolved within 24 to 48 hours.
15.3 For call drop disputes, both parties confirm Session status. Disagreements are escalated to admin.
15.4 Legal disputes are governed by the laws of India and subject to the exclusive jurisdiction of the courts in Haridwar, Uttarakhand.

16. Electronic Communications

16.1 By registering, you consent to communications via push notifications, SMS, WhatsApp, email, and in-app messages.
16.2 These include transactional notifications (booking requests, Session reminders, payout alerts) and promotional communications.
16.3 Transactional notifications cannot be disabled.
16.4 Manage push notification preferences through your device settings.

17. Force Majeure

17.1 The Company is not liable for failures caused by events beyond its control, including natural disasters, pandemics, war, government orders, power failures, internet outages, or cyber attacks.

18. Privacy

18.1 Your use of the App is governed by our Privacy Policy, available under the About section.

19. Modifications

19.1 The Company may modify these Terms at any time. Updated Terms will be posted within the App.
19.2 Continued use after modification constitutes acceptance.
19.3 Material changes will be notified via push notification.

20. Severability

20.1 If any provision is found invalid, the remaining provisions continue in full force.

21. Entire Agreement

21.1 These Terms, the Privacy Policy, the Payout Policy, and the Code of Conduct constitute the entire agreement between you and the Company.

23. User Conduct and Content Policy

eSalahKaar maintains a strict zero-tolerance policy towards objectionable content and abusive behaviour. By using this platform, you agree to the following terms:

1. Prohibited Content: You will not post, send, transmit, or share any content that is abusive, harassing, threatening, obscene, defamatory, hateful, or otherwise objectionable.

2. Prohibited Behaviour: You will not harass, threaten, abuse, impersonate, or harm other users or consultants in any manner.

3. Reporting: If you encounter objectionable content or abusive behaviour, you can report it through Support > Report / Block. All reports are reviewed by our team, and appropriate action is taken within 24 hours.

4. Blocking: You may block any user or consultant at any time through Support > Report / Block.

5. Enforcement: We reserve the right to remove objectionable content and to suspend or permanently terminate the accounts of users who violate this policy, typically within 24 hours of a confirmed report.

6. Acknowledgement: By continuing to use this platform, you acknowledge and agree that there is zero tolerance for objectionable content or abusive users on eSalahKaar.
